Terms of Service

These Terms of Service ("Terms") are an agreement between you and Mindboard, a product of Autonomy Systems Group LLC ("Mindboard", "we", "us") that covers your use of our website at mindboard-asg.com and our app at mindboard-asg.app (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

1. Your account

• You must be at least 13 years old to use Mindboard. If you're under 18, you need permission from a parent or guardian.
• Please give accurate information and keep your sign-in details secure. You're responsible for activity on your account.
• If you use Mindboard on behalf of an organization, you confirm that you're allowed to accept these Terms for it.

2. Plans and billing

Free and Pro

The Free plan costs nothing and includes the features and monthly limits shown on our pricing page. Pro is a paid subscription, billed monthly or yearly, with the features and AI credits shown there.

Automatic renewal

Pro renews automatically at the end of each billing period, and we charge your payment method through Stripe, until you cancel. You can cancel, or switch between monthly and yearly, at any time in the app.

Cancelling

When you cancel, Pro stays active until the end of the period you've already paid for, and then your account moves to the Free plan. Your maps and content stay.

Refunds

Payments are non-refundable, and we don't give partial refunds for unused time, except where the law requires otherwise. If something has gone wrong, email us and we'll look at it fairly.

Founding price

Early members who subscribe at the founding price ($12 per month or $120 per year) keep that price as long as their subscription stays active, including when they switch between monthly and yearly. If a subscription ends and is started again later, current pricing applies.

Failed payments

If a renewal payment fails, you have a 7-day grace period to update your payment method. After that, your account moves to the Free plan. Your content is kept.

Price changes

We may change our prices in the future. For existing subscribers, we'll give at least 30 days' notice before a new price applies to your next renewal, and you can cancel before then.

Taxes

Prices don't include taxes unless we say they do. Applicable taxes may be added at checkout.

3. AI credits

• AI features use credits. Larger jobs, such as long documents, deep expansions and Board Meetings, use more credits than small requests. Mindboard shows an estimate before expensive actions.
• Credits reset every month, including on yearly plans. Unused credits don't roll over and have no cash value.
• When you use AI in a map someone else has shared with you, the credits come from your account, not the map owner's.
• To keep the Service fair and available, we may apply reasonable limits to prevent abuse.

4. Your content

You own everything you create or upload to Mindboard, including your maps, notes, chats, sketches, documents and tasks ("Your Content"). You give us a limited permission to store, process, display and send Your Content only as needed to run the Service for you. That includes sending it to our AI provider to answer your requests, and showing it to the people you choose to share it with. This permission ends when you delete the content or your account, except for backups that are cleared on a rolling basis.

You confirm that you have the right to upload Your Content, and that it doesn't break the law or anyone else's rights, including copyright and privacy.

5. Sharing and collaboration

• Pro members can invite people to a map as editors or viewers. Anyone can accept an invite for free.
• The map owner controls who has access and can remove anyone's access at any time.
• If the owner's Pro plan ends, the shared map stays intact and collaborators become viewers until the owner renews.
• You're responsible for what you share and with whom. Only invite people you trust with that content.

6. AI output

Mindboard's AI advisors, Board Meetings and recommendations are generated automatically and can be incomplete, out of date or wrong. They are not professional advice, whether legal, financial, medical or otherwise. Use your own judgment and check anything important before you rely on it. Links to outside resources are provided for convenience, and we're not responsible for those sites.

7. Acceptable use

Please don't:

• break the law, or use Mindboard to harass, harm, deceive or infringe the rights of others;
• upload malware, or try to break into, overload or reverse-engineer the Service;
• get around plan limits or credits, resell access, or share accounts;
• scrape the Service, or use it to build a competing product;
• use the AI features to create content that is illegal or that our AI provider's policies prohibit.

If an account breaks these rules, we may limit, suspend or close it. Where it's reasonable, we'll tell you first and give you a chance to fix the problem.

8. Our service

Mindboard, including its design, software, name and logo, belongs to us. These Terms don't give you any rights to them beyond using the Service. We're always improving Mindboard, so features may change. If we remove something important from a paid plan, we'll tell you ahead of time. If you send us feedback, we may use it without owing you anything.

9. Ending your use

You can stop using Mindboard at any time and ask us to delete your account by emailing info@mindboard-asg.com. We may suspend or close accounts that break these Terms. If we decide to shut down the Service, we'll give reasonable notice so you can save your content, and we'll refund the unused part of any prepaid subscription.

10. Disclaimers

We work hard to keep Mindboard reliable, but the Service is provided "as is" and "as available". To the fullest extent the law allows, we make no guarantees that it will always be uninterrupted, error-free or fit for a particular purpose. Please keep your own copies of anything critical.

11. Limitation of liability

To the fullest extent the law allows, Mindboard won't be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or business opportunities. Our total liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) $50. Some places don't allow these limits, so they may not apply to you.

12. Indemnity

If a claim is brought against us because of Your Content or your breach of these Terms, you agree to cover the reasonable costs and losses that result, to the extent the law allows.

13. Governing law

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law rules. Any dispute will be handled in the state or federal courts located in New York, unless the law where you live gives you the right to bring a claim locally. Before starting any formal dispute, please email us so we can try to resolve it informally.

14. Changes to these Terms

We may update these Terms from time to time. For meaningful changes, we'll update the date at the top and tell you by email or in the app at least 14 days before they take effect. If you keep using Mindboard after that, you accept the updated Terms.
